Centify Network Terms

Welcome to Centify Network (the “Platform”), accessible at centify.network and any related subdomains, applications, or services (collectively, the “Services”).

Centify Network is a brand of Centify Products, property of LATAM TECH SERVICES LLC / SEP, a limited liability company organized under the laws of the State of Wyoming, USA, with registered offices in Sheridan, Wyoming, and operational offices in Panama City, Panama, (“Centify”, “we”, “our”, or “us”).

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA, without prejudice to any mandatory rights you may have under the laws of your country of residence.

Where local consumer or mandatory rules apply (for example, for users located in Panama), disputes may also be brought before the competent courts of Panama City, Republic of Panama, as required by applicable law.

These Terms and Conditions (“Terms”) govern your access to and use of the Platform, including any membership plans, referral activities, marketplace participation, and any other features offered through the Services.

By creating an account, purchasing a membership, or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

Definitions

For the purposes of these Terms:

• “Member”: Any registered user with an active account, including both free and paid plans.
  
  

• “Business” or “Local Business”: Any merchant, entrepreneur or service provider listing products or services on or through the Platform.
  
  

• “Referral”: A recommendation, share, or promotion by a Member that links to a Business, product, service, or offer via the Platform’s tools.
  
  

• “Incentive” / “Commission” / “Reward”: Any monetary or non-monetary benefit Centify may provide to Members for qualifying actions, such as successful sales linked to their referrals.
  
  

• “AJOEM”: Young Entrepreneurs Association (NGO) and other non-profit partners that may receive funds from Centify Network to support educational programs and seed funding.
  
  

• “User”, “you” or “your”: Any visitor, Member, or Business using or accessing the Services.
  
  

3. Eligibility

3.1 Minimum Age
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Services for commercial purposes.

3.2 Legal Capacity
By using the Platform, you represent and warrant that you have the legal capacity and authority to enter into these Terms.

3.3 Compliance with Laws
You agree to use the Services only in compliance with all applicable local, state, national, and international laws and regulations, including those related to advertising, anti-spam, privacy, tax obligations, and consumer protection.

4. Nature of the Platform

4.1 Networking as a Service & Social E-Commerce
Centify Network is a networking-as-a-service and social e-commerce platform that:

• Provides Members access to local products and services listed by Businesses;
  Enables Members to share those offers with their contacts;
  Tracks referrals and qualifying transactions;
  May pay incentives or rewards for eligible transactions;
  Directs part of revenue to non-profit programs and seed funds in collaboration with AJOEM and similar partners.
  
  

4.2 No Warranty of Results
We do not guarantee:

• Any minimum earnings, number of referrals, or volume of sales;
  That any particular Business or product will be available;
  Any specific impact or level of funding delivered to AJOEM or other NGOs.
  
  

4.3 Third-Party Relationships
The transaction of buying/selling products or services is generally between the Business and the buyer, not Centify. We act as a platform/facilitator only. We are not responsible for the quality, safety, legality, or delivery of any third-party products or services.

5. Accounts, Memberships, and Subscriptions

5.1 Account Registration
To access certain features (referral links, dashboards, incentives, etc.), you must create an account and provide accurate, current, and complete information. You are responsible for keeping your credentials confidential and for all activity under your account.

5.2 Membership Plans
We may offer different membership plans (free or paid) with varying levels of access, tools, and benefits. The details of each plan (price, period, features) will be described on the Platform at the time of purchase.

5.3 Billing & Auto-Renewal
For paid memberships:

• You authorize us and our payment processors to charge your payment method on a recurring basis (monthly, annually, or as otherwise stated).

• Unless you cancel before the renewal date, your subscription may auto-renew for the same term at the then-current price.

• All prices are subject to change upon notice on the Platform or via email.
  
  

5.4 Refunds
Unless otherwise stated in a specific refund policy on the Platform or any provided service or product specified by user own terms, the membership fees and incentives are generally non-refundable, except as required by applicable law.

5.5 Account Suspension & Termination
We may suspend or terminate your account at any time, with or without notice, if:

• You violate these Terms;

• We suspect fraudulent, abusive, or illegal activity;
  We discontinue or materially modify the Services.
  You may also close your account at any time by following the instructions in your profile or contacting support.

6. Referral Program and Incentives

6.1 Eligibility for Incentives
Members may be eligible to earn incentives, rewards, or commissions when:

• They share referral links or promotions compliant with these Terms;

• A qualifying sale is completed through their referral under the rules in force at that time.
  
  

6.2 Rules of Conduct for Referrals

 You agree not to:

• Create fake or duplicate accounts, or self-refer.

• Misrepresent your relationship with Centify, AJOEM, or any Business;
  Use spam techniques (unsolicited mass emails, bots, false advertising, misleading claims).

• Violate any marketing, advertising, or platform policies of third parties (e.g., social networks);

• Promote illegal, harmful, or offensive content.
  
  

6.3 Calculation & Payment of Incentives

• We will determine, in our sole discretion, which transactions qualify for incentives, the amount, and timing of payments.

• Incentives may be subject to minimum thresholds, review periods, and anti-fraud checks.
  You are solely responsible for declaring and paying any taxes associated with your earnings, as required by law.
  
  

6.4 Changes to the Referral Program
We may modify or discontinue any referral program or incentive structure at any time. Any change will apply prospectively and be announced through the Platform or by email where required.

7. Businesses and Listings

7.1 Third-Party Content
Products, services, descriptions, prices, and promotions listed on the Platform are provided by third-party Businesses. We do not endorse, guarantee, or verify the accuracy or completeness of such content.

7.2 Business Responsibilities
Businesses are responsible for:

• Complying with legal requirements in their jurisdictions (licenses, taxes, product safety, warranties, etc.).

• Handling customer relationships, returns, complaints, and disputes related to their products or services.
  
  

8. Acceptable Use & Prohibited Activities

You agree not to:

• Use the Services for any unlawful or fraudulent purpose;
  Infringe the intellectual property or privacy rights of others;
  Introduce malware, viruses, or harmful code;

• Scrape or crawl the Platform without our explicit permission;
  Attempt to gain unauthorized access to any part of the Services or related systems.
  
  

9. Intellectual Property

9.1 Our Content

The Platform and its contents, including trademarks, logos, software, text, graphics, and design elements, are owned by LATAM TECH SERVICES LLC / SEP or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

9.2 User-Generated Content
If you submit content (reviews, comments, images, testimonials), you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display that content for the operation, promotion, and improvement of the Services.

You represent that you have the rights to any content you submit and that it does not infringe third-party rights.

10. Disclaimers

• The Services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied.

• We do not guarantee: continuous or error-free operation, specific earnings, or outcomes from participating in the Platform or referral programs.

• We are not responsible for the actions, omissions, products, or services of any third-party Businesses, advertisers, or service providers.
  
  

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law:

• Centify and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the Services. Our total aggregate liability for any claims relating to the Services shall not exceed the greater of:
  (a) the amount you paid to us in membership fees in the 6 months preceding the event giving rise to the claim, or
  (b) USD [100].
  
  

12. Indemnification

You agree to indemnify, defend, and hold harmless LATAM TECH SERVICES LLC / SEP, its members, partner, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

• Your use or misuse of the Services;

• Your breach of these Terms;

• Your violation of any law or rights of a third party.

13. Privacy & Cookies

Our Privacy Policy, including information on cookies and tracking technologies, describes how we collect, use, and protect your personal data. By using the Services, you acknowledge that you have read and understood our Privacy Policy. Your information may be processed and stored in the United States (including Wyoming), Panama, and other countries where we or our service providers operate.

14. Changes to the Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date and, where appropriate, provide additional notice (e.g., via email or in-app notification).

Your continued use of the Services after the new Terms become effective constitutes your acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of [Panama City and US], without regard to its conflict of law principles, and, where applicable, the laws of the Republic of Panama and the US.

Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of [Wyoming, USA], and, where local consumer or mandatory rules apply, the competent courts of Panama City, Panama.
